Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and JMP LABS LLC ("Postii," "we," "us," or "our") governing your access to and use of the Postii website and service (the "Service"). By creating an account or using Postii, you agree to these Terms. If you don't agree, please don't use the Service.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use Postii. By using the Service, you confirm you meet these requirements.

2. The Service

Postii generates Instagram-ready social media post content using AI, based on information you provide. If you choose to connect your Instagram account, Postii may also allow you to schedule or publish that content directly to Instagram, subject to Instagram's own terms and policies. Postii's scheduling and direct-publishing features may be introduced, modified, or expanded over time.

3. Accounts

You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use of your account.

4. Free Trial, Billing & Cancellation

• Postii offers a 7-day free trial. A valid payment method is required to start your trial.
• If you don't cancel before the trial ends, your payment method will automatically be charged for your selected subscription plan.
• You can cancel anytime through your account settings — cancellation takes effect immediately and is self-serve; no need to contact support.
• Billing is processed by our payment partner, Polar.sh (and its underlying processor, Stripe). By subscribing, you also agree to Polar's applicable terms governing payment processing.
• Refunds: Charges are generally non-refundable. However, we may issue refunds at our discretion on a case-by-case basis — for example, if you were charged in error. To request one, contact us at the email below.
• We reserve the right to change our pricing. We'll provide notice before any price change takes effect for existing subscribers.

5. Acceptable Use

You agree not to use Postii to:

• Generate or post content that is illegal, defamatory, harassing, hateful, or infringes on others' intellectual property
• Violate Instagram's or Meta's platform policies or terms of service
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying systems
• Use the Service to spam, mislead, or deceive others
• Resell or redistribute the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Your Content

You retain ownership of the content you input into Postii and the posts generated for you. By using the Service, you grant Postii a limited license to process and, where applicable, transmit that content to Instagram solely to provide the Service to you.

6a. Content Disclaimer & Your Responsibility

Postii generates content using AI based on the information you provide. You are solely responsible for reviewing, editing, and approving any generated content before posting or publishing it anywhere, including Instagram.

You acknowledge and agree that:

• Postii does not review, fact-check, or moderate generated content before it reaches you
• You use generated content entirely at your own risk
• Postii is not responsible or liable for any consequences resulting from content you post or publish, including but not limited to reputational harm, lost business, follower loss, account restrictions or bans by Instagram/Meta, legal claims (such as defamation, copyright, or trademark issues), or any other direct or indirect impact on your business or social media presence
• It is your responsibility to ensure content complies with Instagram's policies, applicable laws, and any obligations specific to your industry or business

7. Instagram/Meta Platform Disclaimer

Postii is not affiliated with, endorsed by, or sponsored by Meta or Instagram. Any connection to your Instagram account is made via Instagram's official API and subject to Instagram's terms and policies, which may change at any time and are outside our control. We're not responsible for changes Instagram makes that affect the availability or functionality of scheduling or publishing features.

8. Intellectual Property

Postii and its content, features, and underlying technology are owned by JMP LABS LLC and protected by applicable intellectual property laws. These Terms don't grant you any rights to our trademarks, branding, or proprietary technology beyond what's needed to use the Service as intended.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that generated content will achieve any particular result (such as increased engagement, followers, or sales).

10. Limitation of Liability

To the fullest extent permitted by law, JMP LABS LLC and its affiliates won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 3 months before the claim arose.

11. Indemnification

You agree to indemnify and hold harmless JMP LABS LLC from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or content you post or publish using Postii.

12. Termination

You may stop using Postii and cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or for any reason with reasonable notice, except in cases of suspected fraud or abuse, where we may act immediately.

13. Dispute Resolution

If you have a dispute with Postii, please contact us first at the email below — most issues can be resolved quickly this way. If we can't resolve a dispute informally within 30 days, it will be resolved in the state or federal courts located in New Jersey, and both parties consent to jurisdiction there.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.

15. Changes to These Terms

We may update these Terms from time to time. We'll post the updated version here and revise the "Last Updated" date. Continued use of the Service after changes take effect means you accept the updated Terms.
